Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, browser extensions, dashboards, directories, applications, and related services operated by LoadConnect, Inc., a Delaware corporation (“LoadConnect,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Definitions

“Service” means all LoadConnect products and services, including without limitation:

the LoadConnect website(s), web applications, and dashboard;
the public and account-restricted transportation-industry business directory, including motor carriers, freight brokers, shippers, insurers, and other logistics-related entities;
browser extensions and related software;
sidebar and verification tools;
reports, scores, analytics, and insights; and
related APIs, documentation, and support services.

“User” or “you” means any individual or entity that accesses or uses the Service.

“Company Profile” means a page or listing relating to a transportation-industry business.

“User Content” means reviews, ratings, comments, submissions, messages, or other content submitted by Users.

“Public Data” means information obtained from government or other lawful public sources, including but not limited to FMCSA data available through SAFER Web and the Safety Measurement System (SMS).

“Third-Party Services” means services, software, or platforms not operated by LoadConnect but integrated with or accessible through the Service.

2. Eligibility and Authority

You represent and warrant that:

you are at least 18 years old;
you have the legal authority to enter into these Terms; and
if using the Service on behalf of an entity, you have authority to bind that entity.

LoadConnect may refuse service, suspend, or terminate accounts at any time as permitted by law.

3. Description of the Service

LoadConnect operates an independent informational platform that aggregates, organizes, and presents publicly available and lawfully obtained data relating to the freight and transportation industry, and provides software tools designed to assist users with research, workflow, and communication activities.

The Service may include:

aggregation and display of Public Data in a transportation-industry business directory;
tools to research, evaluate, and compare transportation businesses;
browser extensions and software that assist with freight-related workflows;
optional reports, scores, and analytics derived from Public Data, third-party data, or proprietary methodologies; and
user-generated reviews and ratings.

LoadConnect does not participate in, broker, arrange, guarantee, underwrite, or control transactions between users and third parties.

LoadConnect is not affiliated with, endorsed by, or acting on behalf of any company displayed on the Service. If LoadConnect enters into a promotional or advertising relationship with a company, such relationship will be clearly identified as “Sponsored.”

The Service is provided for informational purposes only.

LoadConnect does not provide legal, financial, credit, insurance, compliance, safety, or business advice.

LoadConnect is not a motor carrier, freight broker, shipper, insurer, factoring company, lender, credit reporting agency, or government agency.

4. Company Profiles and Data Sources

Company Profiles and Directory Rights

LoadConnect may create and display Company Profiles based on Public Data and other lawful sources without prior notice to or consent from the listed business.

LoadConnect retains sole editorial discretion over the creation, organization, modification, display, and removal of Company Profiles.

Inclusion of a Company Profile does not imply endorsement, affiliation, approval, verification, or recommendation.

LoadConnect has no obligation to remove or modify lawfully obtained information, including Public Data, even if the subject entity objects.

4.1. Public and Government Data (Including FMCSA Data)

The Service may include information obtained from the Federal Motor Carrier Safety Administration (FMCSA) including SAFER and the Safety Measurement System (SMS).

FMCSA Data may include:

insurance coverage information
authority status
operating status
insurer filings
safety metrics
inspection history
violations
crash history
out-of-service events

LoadConnect may reproduce, aggregate, normalize, summarize, or present FMCSA Data in a user-friendly format.

LoadConnect does not create or modify government records and does not guarantee that Public Data is current, complete, or accurate.

Users are responsible for verifying critical information directly with FMCSA or the relevant authority.

4.2. Factoring and Payment Indicators

The Service may display factoring-related or payment-related indicators derived from third-party data providers, integration partners, or LoadConnect analytical methodologies.

These indicators may include:

estimated days-to-pay
factoring activity indicators
invoice signals
payment trends
factoring eligibility or approval status

Any such status reflects the policies of third-party providers and does not represent an evaluation made by LoadConnect.

Such indicators may be incomplete, delayed, estimated, or derived from partial datasets.

LoadConnect makes no representation regarding financial condition, solvency, creditworthiness, or payment practices.

These indicators are provided for informational purposes only and do not constitute a credit rating, lending decision, financial guarantee, or financial advice.

Users must conduct independent due diligence before making business decisions.

5. User Content, Reviews, and Ratings

5.1. User Content License

By submitting User Content, you grant LoadConnect a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, publish, display, distribute, and use such content in connection with the Service.

5.2. Reviews Are User Opinions

Reviews and ratings reflect the views of the users who submit them.

LoadConnect does not endorse or verify User Content.

Users rely on User Content at their own risk.

5.3. Prohibited Content

You agree not to submit User Content that:

is unlawful, defamatory, abusive, or fraudulent
contains knowingly false statements
violates third-party rights
includes unnecessary personal information

LoadConnect may remove or restrict User Content that violates these Terms.

5.4. Platform Status

LoadConnect operates as an interactive computer service provider under 47 U.S.C. § 230.

User Content is created by third parties.

LoadConnect does not create or materially contribute to such content and shall not be treated as the publisher or speaker of User Content.

LoadConnect has no obligation to monitor or remove lawful content.

6. Email and Messaging Tools

The Service may allow users to send emails through third-party providers.

LoadConnect:

requests email permissions only when authorized by the user;
does not send emails automatically;
does not store email content unless required for a feature.

Users are solely responsible for communications sent through the Service and must comply with applicable laws.

LoadConnect acts solely as a technical service provider.

7. Payments, Subscriptions, and Cancellation

Paid features may include unlimited browser extension functionality, factoring and payment data, premium platform features, sidebar verification tools, directory access, data export tools, company reviews, and profile editing features.

Subscriptions are purchased voluntarily. Payment information is only required when a user actively purchases a subscription.

Payments are processed by third-party payment processors including Stripe.

By purchasing a subscription you authorize recurring charges.

Access to paid features constitutes delivery of the digital service.

Subscriptions renew automatically unless canceled before the renewal date.

Users may cancel subscriptions at hello@loadconnect.io.

Cancellation takes effect at the end of the billing period.

Subscription fees are non-refundable once a billing period begins, except where required by law.

Initiating a chargeback after accessing the Service may result in suspension or termination of the account.

8. Acceptable Use

Users may not:

use the Service for unlawful purposes;
scrape or automate access without permission;
circumvent security controls;
reverse engineer the Service.

9. Intellectual Property

All Service software, design, trademarks, and compiled data presentation are owned by LoadConnect Inc. or its licensors.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

LOADCONNECT DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY.

11. Assumption of Risk

Users acknowledge that:

Company Profile information may be incomplete;
User Content reflects third-party opinions;
financial indicators are informational only.

Users assume all risk arising from reliance on the Service.

12. Limitation of Liability

To the maximum extent permitted by law:

LoadConnect shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the greater of:
- fees paid in the previous six months, or
- $100 USD.

13. Indemnification

Users agree to indemnify LoadConnect from claims arising from:

User Content
use of the Service
violations of law
business decisions made using the Service

14. Dispute Resolution

Users must first attempt to resolve disputes by contacting hello@loadconnect.io.

Disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA).

Users waive the right to a jury trial and class actions.

Arbitration will occur in Delaware.

15. Governing Law

These Terms are governed by the laws of the State of Delaware.

16. Severability; Entire Agreement; Assignment

If any provision is unenforceable, the remaining provisions remain in effect.

These Terms constitute the entire agreement between you and LoadConnect.

LoadConnect may assign these Terms in connection with a merger, acquisition, or sale of assets.
